Welcome to Prylo Inc. (“Prylo”, “we”, “us”, or “our”). By accessing or using our website, services, automation tools, consultations, or any other offerings (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.
By using Prylo’s Services, you agree that:
You are at least 18 years old or have legal authority to represent a business.
You will not use our Services for any unlawful, abusive, or fraudulent activity.
You are solely responsible for the accuracy of the data you provide to us.
We reserve the right to suspend or terminate access to our Services for any reason, including violation of these Terms.
2. Service Scope and Availability
Prylo provides automation consulting, AI integrations, lead generation tools, chatbot development, and related digital services. We may change, suspend, or discontinue certain features at any time, without prior notice, in order to improve service delivery.
3. Payments and Fees
Unless otherwise agreed in writing, all services are billed according to the package or custom quote you select. Payments are due as invoiced, and late payments may result in suspension of services.
All fees are quoted in [CAD/USD] and are non-refundable, except where required by law.
For recurring subscriptions or automation tool access, cancellation must be requested in writing at least 5 business days prior to renewal.
Any third-party platform or software costs are the responsibility of the client, unless specified otherwise.
4. Client Responsibilities
You agree to:
Provide timely access to systems, accounts, or information needed to deliver Services.
Review deliverables and respond to feedback requests in a timely manner.
Not use any tools or automations we create for spam, harassment, or illegal activities.
Failure to meet these responsibilities may delay or void parts of your service agreement.
5. Intellectual Property
Unless otherwise agreed in writing:
All custom-developed assets, workflows, and deliverables remain the intellectual property of Prylo until full payment is received.
Templates, workflows, and proprietary AI prompts are licensed to you for use but may not be resold, redistributed, or white-labeled without written permission.
You retain ownership of any proprietary data or content you provide to us.
6. Privacy and Data Use
We respect your privacy. Please review our Privacy Policy to understand how we collect, use, and protect your information.
By using our Services, you consent to our use of data as described in that policy.
7. Limitation of Liability
To the fullest extent permitted by law:
Prylo will not be liable for indirect, incidental, punitive, or consequential damages, including lost profits, data loss, or business interruption.
Total liability for any claim arising under these Terms is limited to the amount paid by you for the Services in the past 90 days.
We make no guarantees that our tools or recommendations will produce specific business results.
8. Third-Party Services and Integrations
Prylo may recommend or connect third-party platforms (e.g., Make, Zapier, Smartlead, Google Workspace). We are not responsible for their availability, performance, or terms. You are responsible for complying with their terms of service and data policies.7
9. Indemnification
You agree to indemnify and hold harmless Prylo and its affiliates from any claims, damages, liabilities, or legal fees arising from:
Your use or misuse of our Services.
Violations of applicable law (including CASL, CAN-SPAM, or GDPR)
Any data, content, or conduct originating from your systems
10. Governing Law
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of British Columbia.
